Partner Program Terms & Conditions

These Partner Program Terms and Conditions ("Agreement") govern your participation in the Mothership LLC ("Mothership," "Company," "we," "our," or "us") Partner Program ("Program"). By applying to or participating in the Program, you ("Partner," "you," or "your") agree to be bound by this Agreement.

1. PROGRAM OVERVIEW

The Mothership Partner Program allows approved partners to earn commissions by referring customers to eatmothership.com. Partners receive a unique referral link and coupon code to share with their audience.

2. ELIGIBILITY & APPROVAL

2.1 Application Requirements

To apply to the Program, you must:

• Be at least 18 years of age
• Have an active website, blog, or social media presence
• Provide accurate and complete information in your application
• Have an audience relevant to Mothership's target market (postpartum mothers, birth workers, wellness community)

2.2 Approval Process

All applications are reviewed manually within 48 hours. We reserve the right to accept or reject any application at our sole discretion. Approval is not guaranteed, and we are not obligated to provide reasons for rejection.

2.3 Account Suspension

We may suspend or terminate your partner account at any time for violation of these terms, fraudulent activity, or any conduct that damages Mothership's reputation.

3. COMMISSION STRUCTURE

3.1 Commission Rates

Commissions are calculated on the order subtotal (before tax and shipping) using a tiered structure:

3.2 Cookie Duration

When a customer clicks your referral link, a tracking cookie is placed on their browser for 60 days. If they make a purchase within this window, you will receive credit for the sale.

3.3 Attribution

Sales can be attributed through either your referral link or your personal coupon code. If a customer uses your coupon code, you will receive commission credit regardless of cookie status.

3.4 Commission Approval

Commissions remain "pending" for 30 days after the order date to account for potential refunds or cancellations. After this period, commissions are marked as "approved" and become eligible for payout.

4. PAYMENT TERMS

4.1 Minimum Payout

Payouts are processed when your approved balance reaches $50. If your balance is below this threshold, it will roll over to the next payout period.

4.2 Payment Schedule

Payouts are processed monthly, typically within the first 10 business days of each month for the previous month's approved commissions.

4.3 Payment Methods

We offer payment via PayPal or physical check. You are responsible for providing accurate payment information and for any fees associated with receiving payment.

4.4 Taxes

You are solely responsible for reporting and paying any taxes on commissions earned. If you earn $600 or more in a calendar year, we may be required to issue a 1099 form and request your tax identification information.

5. PROMOTIONAL GUIDELINES

5.1 Approved Promotional Methods

Partners may promote Mothership through:

• Personal blogs and websites
• Social media platforms (Instagram, Facebook, TikTok, Pinterest, YouTube, etc.)
• Email newsletters sent to your own subscribers
• Podcast mentions
• Professional recommendations to clients (for birth workers, doulas, etc.)

5.2 Prohibited Promotional Methods

The following promotional methods are strictly prohibited:

• Paid search advertising (Google Ads, Bing Ads) using Mothership brand terms
• Coupon or deal aggregator websites without prior written approval
• Spam of any kind, including unsolicited emails or messages
• Pop-up or pop-under ads
• Misleading or deceptive advertising
• Any promotion that implies official endorsement beyond the partner relationship

5.3 Content Guidelines

When promoting Mothership, you must:

• Only make claims that are truthful and can be substantiated
• Not make medical or health claims beyond what Mothership has officially stated
• Accurately represent our products, services, and pricing
• Not disparage competitors or make comparative claims
• Use only approved images and copy, or create original content that aligns with our brand voice

6. FTC DISCLOSURE REQUIREMENTS

6.1 Mandatory Disclosure

Federal Trade Commission (FTC) guidelines require that you clearly and conspicuously disclose your material connection to Mothership whenever you promote our products or share referral links. This disclosure must be:

• Clear and easy to understand
• Placed near the referral link or promotional content
• Visible without requiring the viewer to click or expand anything
• Made in every piece of content that contains referral links

You are solely responsible for complying with FTC disclosure requirements. Mothership is not responsible for your failure to properly disclose, but we reserve the right to terminate partners who repeatedly fail to comply.

7. INTELLECTUAL PROPERTY

7.1 Limited License

We grant you a limited, non-exclusive, non-transferable license to use Mothership trademarks, logos, and approved promotional materials solely for the purpose of promoting our products as a partner.

7.2 Restrictions

You may not:

• Modify our trademarks or logos
• Use our brand name in your domain name or social media handle
• Create content that could be mistaken for official Mothership communications
• Register any trademark, domain, or social handle containing "Mothership" or similar

8. CONFIDENTIALITY

You agree to keep confidential any proprietary information shared with you through the Program, including but not limited to commission rates, upcoming promotions, and sales data. This obligation survives termination of this Agreement.

9. TERMINATION

9.1 Termination by Partner

You may terminate your participation in the Program at any time by emailing us at hello@eatmothership.com.

9.2 Termination by Mothership

We may terminate your participation immediately and without notice for:

• Violation of these terms
• Fraudulent activity or self-referrals
• Conduct that damages Mothership's reputation
• Inactivity (no sales for 12 consecutive months)
• Any other reason at our sole discretion

9.3 Effect of Termination

Upon termination, you must immediately cease using all Mothership trademarks and promotional materials. Any pending commissions that have not yet reached the approval period may be forfeited. Approved but unpaid commissions will be paid according to the normal payout schedule if they meet the minimum threshold.

10. LIMITATION OF LIABILITY

MOTHERSHIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION IN THE PROGRAM.

Our total liability under this Agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Mothership, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your participation in the Program, your promotional activities, or your violation of these terms.

12. MODIFICATIONS

We reserve the right to modify these terms, commission rates, or any aspect of the Program at any time. Material changes will be communicated via email to the address on file. Continued participation after notification constitutes acceptance of the modified terms.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Luis Obispo County, California.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Mothership regarding the Partner Program and supersedes all prior agreements and understandings, whether written or oral.
